1. Acceptance of Terms & Scope

Welcome to BrandSphere IT Solutions ("BrandSphere," "we," "us," or "our"). By visiting brandsphereit.com, engaging our engineering or digital marketing teams, submitting project consultations via our Contact Portal, or signing a statement of work (SOW), you agree to be bound by these Terms of Service, all applicable laws, and relevant regulatory standards in India.

If you represent a company, startup, or enterprise, you warrant that you possess the legal authority to bind that entity to these Terms.

2. Description of Professional Services

BrandSphere delivers full-stack digital engineering and growth solutions tailored for businesses across India and globally. Our specialized core capabilities include:

• Custom Website Development: High-performance Laravel, React, Next.js web applications, e-commerce stores, and corporate portals.
• UI/UX Strategy & Product Design: User research, wireframing, interactive prototyping, and responsive design systems.
• Search Engine Optimization (SEO & AEO): Technical audits, localized GEO indexing, on-page optimization, and high-authority search visibility.
• Brand Identity & Graphic Design: Logo design, brand style guides, digital marketing assets, and corporate collateral.
• Website Maintenance & Cloud Support: 24/7 uptime monitoring, security patching, speed optimization, and server administration.

Individual project timelines, feature roadmaps, milestone deliverables, and fee structures are governed by specific project proposals executed between BrandSphere and the client.

3. Intellectual Property Rights & Ownership

We respect and protect proprietary assets and intellectual property at every phase of collaboration:

• Client Ownership: Upon full and final settlement of all agreed milestone invoices, the client receives exclusive ownership of all custom source code, graphic designs, databases, and bespoke assets engineered specifically for the client's deliverables.
• BrandSphere Core Frameworks: BrandSphere retains ownership of its proprietary pre-existing software libraries, utility scripts, boilerplate scaffolding, and reusable developer modules integrated into the build. The client is granted a perpetual, royalty-free, non-exclusive license to utilize these components within the delivered application.
• Portfolio & Attribution: Unless a formal Non-Disclosure Agreement (NDA) is in effect, BrandSphere reserves the right to showcase the completed work, project overview, and client name in our public Work Portfolio and Case Studies.

4. Client Responsibilities & Content Provision

To ensure project delivery within estimated timeframes, clients agree to:

• Provide required media, brand guidelines, product catalogs, and editorial copy in a timely manner.
• Warrant that all text, imagery, trademarks, and third-party media provided to BrandSphere are legally owned by the client or properly licensed.
• Provide prompt constructive feedback and staging approvals within 5 business days of milestone completion.

5. Payment Terms, Milestone Billing & Scope Adjustments

• Project Kickoff Deposit: All custom engineering and design engagements require an agreed advance deposit (typically 30% to 50%) prior to sprint initiation.
• Milestone Payments: Remaining invoices are linked to verified milestone completions (Design Staging, Functional Alpha/Beta, Production Deployment).
• Scope Adjustments (Change Requests): Any features or requirements requested outside the signed scope will be documented and billed separately under a written change order.
• Taxes: Invoices are subject to applicable GST and statutory levies in India.

6. Post-Launch Warranty & Limitation of Liability

We stand firmly behind our code quality and architecture:

• 30-Day Defect Warranty: BrandSphere provides a complimentary 30-day bug-fix warranty following production launch to rectify any software defects arising directly from our original implementation.
• Liability Cap: BrandSphere shall not be liable for indirect, incidental, or consequential damages resulting from third-party server outages, payment gateway interruptions, or client-side administrative modifications. Our aggregate liability is strictly limited to the total fees paid under the affected project agreement.

7. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in Gandhidham / Kutch District, Gujarat, India.
